売買基本契約書

売買基本契約書は継続してなされる売買取引の基本的条件や売買契約の成立についての条項を内容とする契約です。個別の売買契約は、この基本契約に基づいて、当事者間で物品の注文及び受注が行われることに成立し、個別の売買契約の基本的条件については、この基本契約が適用されます。

（1）表題（title) BASIC SALES TRANSACTION AGREEMENT

（2）頭書(premises) This Basic Sales Transaction Agreement (this Agreement) is entered into effective April 1, 2013　between Sakura Trading Co.,Ltd.a corporation established and existing under the laws of japan having its head office at Fuji building,30F,2-2-2 yodogawacho,Yodogawa-ku,Osaka ,Japan (Seller)and Fortune Co.,Ltd a corporation established and existing under the laws of Indiana,U.S.A.having its head office at Fox building,5F ,1234 Michigan Avenue,Chicago, Illinois,U.S.A.(Buyer)(collectively the Party or individually a Party).

(3)経緯（whereas clauses) RECITALS WHEREAS,Buyer desire to purchase automotive products from Seller from time to time based on Individual Contracts (as defined below ),and Seller desires to sell such products to Buyer in such manner;NOW THEREFORE the Parties mutually agree to enter into this Agreement in accordance with the terms and conditions stated herein.
